Joseph L. Welch

welchMr. Welch is Chairman, President, and CEO. As its founder, Mr. Welch had overall responsibility for ITCTransmission's vision, foundation and transformation into the first independently owned and operated electricity transmission company in the United States. As president and CEO, Mr. Welch is focused on investing in electricity transmission system improvements through ITC Holdings and establishing ITCTransmission as a best-in-class electricity transmission company through the implementation of innovative methods to improve reliability, reduce transmission constraints and lower the total cost of delivered energy. During his career at Detroit Edison from 1971 to 2003, Mr. Welch has held positions of increasing responsibility in the electricity transmission, distribution, rates, load research, marketing and pricing areas and regulatory affairs that included the development and implementation of regulatory strategies.

Edward G. Jepsen

jepsenMr. Jepsen currently serves as a director of the Amphenol Corporation and as a director and on the audit committees of the boards of directors of TRC Companies, Inc. and Gerber Scientific, Inc. In addition, Mr. Jepsen is a non-officer Advisor of the Amphenol Corporation, where he served as Executive Vice President and Chief Financial Officer from 1989 to 2004. Prior to joining the Amphenol Corporation, Mr. Jepsen worked at Price Waterhouse LLP from 1969 to 1988, ultimately attaining the position of partner.

Mr. Jepsen graduated from Antioch College in 1966 and received an MBA from the Harvard Business School in 1968.

Richard D. McLellan

Richard D. McLellanMr. Richard D. McLellan brings extensive judiciary and corporate board experience to ITC. Mr. McLellan spent 25 years as the director of the government policy department for the legal firm Dykema Gossett. He retired from Dykema after 34 years in private practice. During his career, McLellan served as treasurer and chairman of the Michigan Chamber of Commerce and the Michigan Competitive Telecommunications Providers Association. He was recently named Chairman of the Board for the Council for Africa Infrastructure Development. Mr. McLellan is currently chairman of the Michigan Law Revision Commission, a position he has filled since 1986. He served two terms as a member of Board of Commissioners of the State Bar of Michigan by appointment of the Supreme Court. He is serving as Second Chair and a member of the Board of the Advocates Guild in the Michigan Supreme Court Historical Society. He graduated from Michigan State University Honors College and the University of Michigan Law School. He teaches as an adjunct professor at Michigan State's Department of Advertising, Public Relations and Retailing.

William J. Museler

muselerMr. Museler comes to ITC Holdings Corp. from his previous position as president and CEO of the New York Independent System Operator (NYISO). Prior to his service at NYISO, Mr. Museler held senior positions at the Tennessee Valley Authority (TVA), Long Island Lighting Company (LILCO), and Brookhaven National Laboratory. He has served as a federal representative for the North American Electric Reliability Council (NERC) and as chairman of the Southeastern Electric Reliability Council (SERC). He is currently a member of the Secretary of Energy's Energy Advisory Board (EAB).

A graduate of the Pratt Institute with a Bachelor of Science in Engineering Science, Mr. Museler also holds a Master of Science degree in Mechanical Engineering from Worcester Polytechnic Institute.

Hazel R. O'Leary

olearyMs. Hazel R. O'Leary brings extensive federal utility experience to the ITC board. She currently serves as president and CEO of Fisk University in Nashville, Tenn. She also served as Secretary of Energy under President William Clinton from 1993 to 1997, where she managed 120,000 employees and an annual $21 billion annual budget.

In addition to ITC's board, Ms. O'Leary also serves on the boards of directors of the Nashville Alliance for Public Education, Nashville Business Community for the Arts, the Nashville Opera, and Arms Control Association.

Ms. O'Leary graduated from Fisk University and obtained a law degree from Rutgers University.

G. Bennett Stewart III

b_stewartA founding partner with Joel Stern of Stern Stewart & Co., a global management consulting firm, Mr. Stewart also currently serves as CEO of EVA Dimensions, a firm he formed in March, 2006 to acquire and manage the valuation modeling and investment research and funds management services of Stern Stewart & Co.

Mr. Stewart is also the author of The Quest for Value, which is regarded as the definitive guide to EVA ("economic value added"), a value-based financial management and incentive compensation framework now employed at over 350 companies worldwide. Mr. Stewart has written and lectured widely in his 30 year professional career on topics such as accounting for value and management incentive plans.

Mr. Stewart is a 1974 graduate of Princeton University in electrical engineering and 1976 graduate of the University of Chicago Graduate School of Business MBA program. He presently serves as Chairman of the Alumni Advisory Council for Princeton's Department of Operations Research and Financial Engineering.

Lee C. Stewart

l_stewartMr. Stewart currently serves as a director of Glatfelter and Marsulex, Inc., and also is a director of AEP Industries, Inc. where he is a member of the audit committee. Previously, Mr. Stewart was Executive Vice President and Chief Financial Officer of Foamex International, Inc. and was Vice President responsible for all areas of Treasury at Union Carbide Corp.

Mr. Stewart graduated from University of Pennsylvania in 1971 and received a Masters degree in International Management from the American Graduate School in 1973.
